1. The Services
Learn Or Teach provides software for authoring training courses, operating training programmes, and tutoring learners, together with a library of ready-made courses. Courses can be delivered on our platform or exported to a learning management system you already operate. We may add, change or withdraw individual features over time; where a change materially reduces what a paid plan provides, we will give you reasonable notice.
2. Accounts
You must provide accurate account information and keep it current. You are responsible for activity under your account and for keeping credentials secure, and you agree to tell us promptly if you believe an account has been compromised. Accounts are for the organisation that registered them; you may not share seats between people in order to avoid buying them.
3. Trials, plans and payment
- Free trial. Trials run for the period stated at sign-up and do not require a payment card. We may change or end trial availability at any time.
- Subscriptions. Paid plans are billed in advance for the term you select and renew automatically for further terms unless cancelled before the renewal date.
- Cancellation. You may cancel at any time, effective at the end of your current paid term. Fees already paid are not refunded on a pro-rata basis unless we say otherwise in writing or the law requires it.
- Changes to fees. We may change pricing for future terms and will give notice before a change takes effect for you.
- Taxes. Fees are exclusive of taxes, which you are responsible for where they apply.
4. Your content
Material you upload — policies, documents, recordings, learner data and anything else — remains yours. You grant us only the licence we need to host and process it in order to provide the Services to you. Courses generated from your material are yours, and exported packages remain yours to keep and run elsewhere, including after this agreement ends. You are responsible for holding the rights to what you upload and for having a lawful basis to give us any personal data it contains.
5. Our content and the course library
The platform, its software, and the courses in our library remain the property of Learn Or Teach or our licensors. A plan grants you a non-exclusive, non-transferable right to use and assign library courses to your own learners for the duration of your subscription. It does not allow you to resell, sublicense or redistribute library content as a standalone product. Some library titles are licensed from third parties and may carry additional terms, which we will make known where they apply.
6. AI-generated output
Parts of the Services generate course content automatically from the material you supply. Generated output is a draft. It can contain errors or omissions and you are responsible for reviewing it before you publish or assign it, particularly where training carries a regulatory, safety or compliance obligation. We do not warrant that generated content satisfies any specific legal or certification requirement, and it is not a substitute for professional advice.
7. Acceptable use
You agree not to:
- use the Services unlawfully, or to upload content you have no right to use;
- upload malware, or attempt to breach, probe or disrupt the Services or their security;
- reverse engineer the platform, or attempt to extract the library in bulk;
- resell or provide the Services to a third party except as your plan permits;
- use the Services to harass, defraud or mislead anyone, or to generate content that does so.
We may suspend access where use presents a security, legal or operational risk. Where it is reasonable to do so, we will tell you first and give you a chance to fix it.
8. Your LMS and other third-party services
The Services interoperate with learning management systems and other third-party tools through standards including SCORM 1.2, SCORM 2004 (2nd, 3rd & 4th editions), AICC, xAPI (Tin Can), cmi5, and LTI 1.1 / 1.3. Those systems are outside our control and are governed by their own terms. We are not responsible for their availability, or for how they handle data once content or records have been exported to them at your direction.
9. Availability and support
We aim to keep the Services available and to make maintenance unobtrusive, but we do not guarantee uninterrupted access unless a separate written service-level agreement says so. Support is provided at the level described for your plan.
10. Confidentiality
Each party may receive information from the other that is marked confidential or that a reasonable person would treat as confidential. Each agrees to use it only to perform this agreement and to protect it with at least the care it applies to its own confidential information. This does not apply to information that is public through no fault of the recipient, was already lawfully held, or must be disclosed by law.
11. Warranties and disclaimers
We warrant that we will provide the Services with reasonable care and skill. Beyond that, and to the extent the law allows, the Services are provided “as is” and we exclude other warranties, whether express or implied, including fitness for a particular purpose. Nothing in these Terms excludes liability that cannot lawfully be excluded.
12. Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or anticipated savings. Our total aggregate liability arising out of or in connection with these Terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to death or personal injury caused by negligence, to fraud, or to any other liability that cannot lawfully be limited.
13. Indemnity
You agree to indemnify us against claims arising from content you upload or publish through the Services, or from your use of the Services in breach of these Terms, except to the extent the claim results from our own breach or negligence.
14. Termination
Either party may terminate for material breach that is not remedied within 30 days of written notice. You may stop using the Services and cancel at any time as described in section 3. On termination your right to access the Services ends. For 30 days afterwards you may export your content and course packages; after that we may delete them in line with our retention practices. Sections that by their nature should survive — including 4, 5, 10, 11, 12 and 13 — do.
15. Changes to these Terms
We may update these Terms as the Services change. We will post the revised version here with a new “last updated” date, and where a change is material we will give reasonable notice before it takes effect. Continuing to use the Services after that means you accept the revised Terms.
16. General
These Terms, together with any order form and our Privacy Policy, are the entire agreement between us on this subject. If a provision is found unenforceable, the rest continues to apply. A failure to enforce a right is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor of our business.
